1. Agreement to Terms
By accessing or using the Valgo Platform services provided by Valgo Platform Inc., a corporation incorporated under the laws of Canada with its principal offices located in Ontario, Canada, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Valgo Platform provides an infrastructure layer for building, deploying, and managing AI agents at scale. Our services include agent building tools, multi-agent orchestration, execution layer capabilities, persistent memory systems, and observability and debugging features.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding agreements under Canadian law and the laws of your jurisdiction to use our services. By using the Platform, you represent and warrant that you meet these requirements.
4. Account Registration
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access the Platform.
5. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable federal, provincial, territorial, or international law or regulation, including Canadian privacy legislation (PIPEDA)
- Deploy agents that engage in harmful, deceptive, or malicious activities
- Attempt to gain unauthorized access to any systems or networks connected to the Platform
- Interfere with or disrupt the integrity or performance of the Platform
- Collect or harvest any personally identifiable information without proper consent
- Use the Platform in any manner that could damage, disable, or impair it
6. Intellectual Property
The Platform and its original content, features, and functionality are and will remain the exclusive property of Valgo Platform Inc. The Platform is protected by copyright, trademark, and other laws of Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Valgo Platform Inc.
7. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
8. Subscription and Payment
Certain features of the Platform require a paid subscription. All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Applicable taxes, including Canadian GST/HST and provincial sales taxes, will be added to your subscription fees. Payment terms are set forth in the applicable subscription agreement.
9. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, in no event shall Valgo Platform Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Platform.
10. Termination
We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. Upon termination, your right to use the Platform will immediately cease.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Ontario, Canada.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
